This End User License Agreement ("Agreement") supplements the Terms of Use and Privacy Policy. By clicking "I agree", connecting a third-party account, or using the application, you accept this Agreement.

1. License

Subject to your compliance with this Agreement, the Terms of Use, and the Privacy Policy, Gravity Hub by ADV Design grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Gravity Hub application for your internal business operations.

2. Third-party integrations (all providers)

Gravity Hub connects to third-party services you choose to enable, including shipping carriers (such as FedEx, UPS, and USPS) and e-commerce and marketplace platforms (such as Shopify and Amazon) ("Providers"). Gravity Hub is an independent integrator. It is not a Provider and is not affiliated with, endorsed by, or acting as an agent of any Provider.

To use a Provider's features you must connect a valid account with that Provider that you are authorized to use. All actions you take through Gravity Hub are performed against your own Provider account, are billed to that account where charges apply, and are your responsibility.

Your use of each Provider's services through Gravity Hub is subject to that Provider's own terms and conditions, as amended from time to time. For shipping carriers this includes the applicable carrier service guide or tariff (for example, the FedEx Service Guide at fedex.com). If a Provider's terms conflict with this Agreement as to that Provider's services, the Provider's terms control. All Provider names, logos, and marks (including FedEx, UPS, USPS, Shopify, and Amazon) are trademarks of their respective owners and are used for identification only. Rates, surcharges, delivery commitments, transit times, and data returned by Provider APIs are estimates or point-in-time values; final charges and authoritative data are determined solely by the Provider and may differ.

3. Restrictions

You will not, and will not permit any third party to: (a) copy, modify, or create derivative works of the application except as permitted; (b) reverse engineer, decompile, or disassemble the application except to the extent expressly permitted by law; (c) resell, sublicense, or provide the application to third parties except as expressly authorized; (d) use the application or any integration to violate any law or any Provider's terms, including a carrier's service guide; or (e) ship prohibited, restricted, or hazardous items except in strict compliance with the applicable carrier's requirements and applicable law.

4. Your data and accounts

You are responsible for the accuracy of the data you submit (including addresses, weights, dimensions, customs information, and order and inventory data) and for maintaining the security of your account credentials. Our handling of personal data is described in the Privacy Policy.

5. Third-party beneficiaries

Each Provider is an intended third-party beneficiary of the Provider-related terms in Sections 2, 3, and 6 as they relate to that Provider, and may enforce those terms directly against you. Without limiting the foregoing, Federal Express Corporation and its affiliates are intended third-party beneficiaries with respect to FedEx services.

6. Disclaimers and limitation of liability

The application is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. Gravity Hub is not a carrier and is not liable for loss, damage, delay, misdelivery, customs action, or any other act or omission of any Provider or carrier. To the maximum extent permitted by law, Gravity Hub will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any charges, surcharges, or penalties billed to your Provider accounts.

7. Termination

We may suspend or terminate your access, or any integration, if you breach this Agreement or if required by a Provider. On termination you must stop using the affected features. Sections 2 through 6 survive termination.

8. Changes

We may update this Agreement to reflect changes in the application, Provider requirements, or the law. Continued use after an update constitutes acceptance.
